What Employers Need To Know About The FTC Ban On Employer Non-Competes

A year and half after the Federal Trade Commission (FTC) proposed a rule banning non-competes, the FTC voted 3-2 in favor of issuing its final rule banning most employee non-compete agreements in the workplace. This prohibits employers from using non-competes for all current and former workers, regardless of the worker’s position, title or status. While the final rule prohibits new non-compete clauses for senior executives, non-compete clauses entered into with senior executives prior to the effective date remain enforceable.

Employers Beware – Salary Threshold Increasing For Exempt Employees

The Department of Labor (“DOL”) has issued a final rule that will significantly raise the minimum salary requirements for exempt employees under the Fair Labor Standards Act (FLSA). Exempt employees include those who work in executive, administrative and professional capacities, commonly referred to as the “white collar” exemptions. This law, should it go into effect, also includes an increase for those individuals who qualify as highly compensated employees under the FLSA. As a result, the DOL anticipates that approximately four million workers will be entitled to overtime.

New Federal Corporate Reporting Requirement: Have You Filed Your BOI Yet?

New disclosures to the federal Corporate Transparency Act (CTA) now require an additional reporting requirement for “reporting companies” -- most U.S. corporations, limited liability companies and certain other entities in the United States. These companies are required to report their beneficial ownership to the Financial Crimes Enforcement Network (FinCEN) by filing an application, which will be saved in a federal database that can be accessed by the IRS, law enforcement and other agencies. FinCEN is part of the U.S. Department of the Treasury.

Employers Beware – Your Severance Agreement Templates Require Attention

The National Labor Relations Board (NLRB) recently ruled that confidentiality and non-disparagement clauses in employee severance agreements are unlawful, and thus, unenforceable.  Generally, employers include confidentiality and non-disparagement provisions in their severance agreements to ensure a departing employee does not disclose the terms or the fact of the agreement or disparage the employer in the future.  For most employers, these provisions are integral parts of the reason for the severance agreement. That is why this decision is so troubling.
